By engaging with the Pappad Platform and utilizing the Services, you consent to the

outlined and gathered by us in alignment with this Policy. Should you disagree with the
Policy, we advise against the use or access of the Pappad Platform.
Our utilization of the information collected is aimed at the following objectives:

facilitating deliveries and other services, and enabling features that personalize your
Pappad account;
? Fulfilling our contractual obligations and delivering the relevant information and
services to you;
? Strengthening the security of our Pappad Platform and for internal processes, such
as troubleshooting, data analysis, testing, research, statistical, and survey
endeavors;
? Informing you about services that may interest you, similar to those currently used or
inquired about. If you are a registered user, communication will occur via electronic
means with details about these services;
? Understanding our user base to improve the content and features of our Services,
process transactions, offer customer support, and respond to inquiries;
? Generating and analyzing reports and data about our user base and Service usage
patterns;
? Enabling participation in interactive features of our Services, where available;

 

Assessing the effectiveness of our advertising and delivering pertinent advertisements to
you.
If you are associated with our partner restaurants or merchants, or are a delivery partner, we
monitor delivery progress or order status for our customers.
? Information sharing occurs under the following circumstances:
With Service Providers: Your information may be shared with our vendors, consultants,
marketing partners, research firms, and other service providers or business partners, such
as payment processing companies, to support our operations. For instance, information
might be shared with external vendors to facilitate communication related to our Services,
analyze and enhance usage of our Services, process payments, and other project-based
engagements like conducting surveys.
With Partner Restaurants/Merchants: Upon placing a food order request through the
Pappad Platform, your details are shared with us and the restaurants/merchants you choose
to order from. This facilitates online food order processing similarly to a direct order with the
restaurant. If a mobile number is provided, Pappad may send SMS updates about the
delivery status.
With Other Users: For delivery partners, we may share your name, contact number, and/or
profile picture (if applicable), along with tracking details with other users to provide them the
Services.
For Crime Prevention or Investigation: We may disclose information to government agencies
or other entities assisting us under the following conditions:
? When legally required or in good faith to comply with legal processes;
? For the detection and prevention of identity theft, fraud, misuse of Services, and other
unlawful activities;
? In response to claims of violation of third-party intellectual property rights;

 

When necessary to enforce our Terms of Use, protect our rights, property, or safety, our
customers, or others, or in connection with a dispute or claim related to your use of our
Services. This includes sharing information for fraud detection and credit risk reduction.
For Internal Use: Information may be shared within our “Group” (as defined below) or
affiliates for internal business reasons. The term “Group” refers to any entity controlled by,
controlling, or under common control with, a person, directly or indirectly, or, in the case of a
natural person, any Relative (as per the definitions in the Companies Act of Cameroon,
where applicable).
With Advertisers and Advertising Networks: We collaborate with third parties, such as
network advertisers, to display advertisements on the Pappad Platform and third-party sites
or media (e.g., social networking platforms). These entities may employ cookies, JavaScript,
web beacons, and other tracking technologies to measure ad effectiveness and personalize
advertising content for you.

The fundamental principle is that once an order is placed by a buyer, the cancellation
of said order is not permitted. Pappad reserves the exclusive right to refuse any

 

refund to the buyer following a cancellation initiated by the buyer. The decision to
refund any order lies entirely within the discretion of Pappad, reflecting the
operational standards within Cameroon, Central Africa.
In instances where a buyer opts to cancel his/her order, Pappad is entitled to impose
a penalty equating to 100% of the order value as compensation for breach of
contract. This acts as reparation for the losses incurred by Pappad, with the
stipulation that the order value may not be refunded if the buyer’s order is prepaid or
deducted from a subsequent order in cases where the order is postpaid. This
ensures equitable compensation for both merchants and delivery agents involved in
the transaction process within Cameroon.
Pappad retains the authority to levy penalties for orders that are necessarily
cancelled due to circumstances beyond the control of Pappad, including but not
limited to:
? Incorrect or out-of-delivery zone addresses provided by the buyer;
? Inability to establish contact with the buyer via phone or email at the time of
order delivery;
? Failure to deliver the buyer’s order due to insufficient information, directions,
or authorization from the buyer at the time of delivery;
? Non-availability of all items ordered by the buyer at the time the order is
placed;
? In the rare event an item from an order is unavailable, Pappad will reach out
to the buyer using the contact information provided at order placement to
inform them of this unavailability. Under such circumstances, the buyer is
entitled to cancel the entire order and may receive a refund up to 100% of the
order value.
Should cancellations occur due to reasons attributable to Pappad, the merchant, or
the delivery agent, no penalty will be imposed on the buyer. Moreover, the buyer is

 

entitled to a refund of a proportionate value if the packaging of an item or the entire
order is tampered with or damaged, leading to the buyer’s refusal to accept the
delivery for the said reasons.
Buyers may be eligible for a refund up to 100% of the order value if the delivery
agent fails to deliver the order due to reasons attributable to the delivery agent or
Pappad. However, such instances will be evaluated on a case-by-case basis by
Pappad, with our decision on refunds being final and binding.
Refund amounts will be processed to the buyer's account as per the chosen
payment method, with the estimated timelines outlined below. This is applicable
unless the buyer opts for the refund to be credited to their wallet within their Pappad
account.

pay for:

Welcome to Pappad – Your Go-To Online Food Delivery App in Cameroon, Central Africa.
This document, along with the referenced documents herein, outlines the terms (“Terms”)
applicable when you order any food/product (“Items”) through our Pappad mobile
applications and related services (collectively referred to as an “Application”).
Before placing any orders for Items via our Application, we implore you to read these Terms
attentively. Should you have any inquiries regarding these Terms, please reach out to
[email protected] before initiating an order. By creating your Pappad account, you
are affirming your acceptance of these Terms.
Pappad facilitates transactions on its Platform between participating restaurants and
consumers, dealing in prepared food and beverages ("Platform Services"). Consumers
("Buyer/s") have the liberty to select and place orders ("Orders") from a diverse range of
products listed and offered for sale by various merchants, including but not limited to
restaurants, eateries, and others ("Merchant/s"), on the Platform.
All commercial/contractual terms are negotiated and agreed upon solely between Buyers
and Merchants concerning products offered by the Merchants. These terms encompass
price, applicable taxes, shipping costs, payment terms, date, period, and mode of delivery,
among others. Pappad plays no role in influencing or deciding upon these
commercial/contractual terms between the Buyers and Merchants. Nevertheless, Pappad
may provide support services to Merchants concerning Order fulfillment, payment methods,
payment collection, call center support, and other ancillary services, pursuant to independent

 

contracts signed by Pappad with the Merchants. The Merchant solely determines the pricing
of the product and services offered, with no intervention from Pappad in the pricing process.
The Platform enables Buyers to place Orders, and upon acceptance by the Merchants,
Pappad, adhering to the terms and conditions herein, facilitates the delivery of
food/beverage. Pappad neither owns nor sells or resells the products offered by the
Merchants on its own, nor controls the Merchants or the associated services. The Buyer
acknowledges that any Order placed is subject to the terms and conditions outlined in these
Terms of Use, including but not limited to product availability, delivery location serviceability,
and acceptance of Orders by Merchants.
All Orders placed on the Platform and Delivery Services are considered confirmed. However,
after the successful completion of an Order booking by the Buyer, we may contact the Buyer
via telephone or mobile number provided to confirm the details of the Order, the price
payable, and the estimated delivery time. For this purpose, the Buyer is required to share
certain information with us, including but not limited to the Buyer’s (i) first and last name, (ii)
mobile number, and (iii) email address. It is the Buyer's sole responsibility to notify us of any
incorrect details promptly.
Furthermore, we may reach out by phone and/or email to inform and confirm any changes to
the Order, due to availability or unavailability or changes in the Order or price of any item as
notified by the Merchant. Please note that any changes or confirmation of the Order will be
considered final. It is clarified that Pappad reserves the right to not process the Buyer's
Order in the event that the Buyer or Merchant is unreachable by phone or any other means
of communication at the time of attempting to confirm the Order, in which case the provisions
of the Cancellation and Refund Policy will apply.
Payment for Orders can be made via (i) credit card, debit card, or net banking, or (ii) credit or
debit card or cash at the time of delivery. The payment facility provided by Pappad is an
electronic, automated online electronic payment, receiving payment on delivery, collection,
and remittance facility for the transactions on the Platform, utilizing the existing authorized
banking infrastructure and credit card payment gateway networks. By offering this payment
facility, Pappad is not providing any banking or financial services but merely acting as a

 

facilitator for electronic payments. The Buyer agrees to pay the total amount for the Order
placed on the Platform, in accordance with these Terms of Use and the pricing terms set by
the specific Merchant, in addition to any delivery fees for Delivery Services. Please be aware
that Pappad cannot control any fees that may be charged to the Buyer by his/her bank
related to Pappad's collection of the total amount, and we disclaim all liability in this regard.
In connection with the Buyer’s Order, billing information such as name, billing address, and
credit card information will be requested either directly by us or by our third-party payment
processor. The Buyer agrees to pay us for the Orders placed on the Platform, in line with
these Terms, using the payment methods described. The Buyer hereby authorizes the
collection of amounts by charging the credit card provided, either directly by us or indirectly
via a third-party online payment processor or by one of the payment methods described on
the Platform. If directed to our third-party payment processor, the Buyer may be subject to
the terms and conditions and privacy policy of that third party. Please review these
documents before utilizing the services on the Platform.
You agree, undertake, and confirm that your use of the Platform will be in strict accordance
with the following binding principles:
1. You shall not engage in any activities that:
? Infringe on the rights of others;
? Are unlawful, harassing, defamatory, obscene, or otherwise objectionable;
? Involve spamming, illegal activities, or the dissemination of viruses;
? Mislead or deceive users of the Platform;
? Interfere with another user's enjoyment of the Platform;
? Violate intellectual property rights, privacy rights, or any other rights of third parties;
? Are harmful to minors in any way;
? Impersonate any person or entity or falsely state or misrepresent your affiliation with
a person or entity;
? Attempt to gain unauthorized access to the Platform or other users' information;
? Engage in any activity that disrupts the normal flow of dialogue on the Platform;
? Violate any applicable laws or regulations in Cameroon or any international laws or
treaties.

 

2. You shall not use any automated means, including robots, spiders, or data mining
techniques, to monitor or copy any part of the Platform or the content contained
therein without our prior written permission.
3. Unauthorized access to the Platform, including attempting to bypass any measures
we may use to prevent or restrict access to the Platform, is strictly prohibited.
4. You agree not to test the vulnerability of the Platform or any connected network, nor
to breach security or authentication measures without proper authorization.
5. You shall not make any statements or take actions that could damage the reputation
of Pappad, its Merchants, or any other party.
6. The use of devices or software to interfere with the proper working of the Platform or
any transaction being conducted on it is prohibited.
7. You may not use the Platform for any illegal or unauthorized purpose, and you agree
to comply with all local, state, national, and international laws and regulations
applicable to your use of the Platform.
8. Compliance with applicable laws, including those related to data privacy, international
communications, and the transmission of technical or personal data, is required at all
times.
9. You grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free,
sublicensable right to use the information you supply to us in any media for the
purposes described in these Terms of Use and our Privacy Policy.
The Buyer acknowledges that Pappad is not responsible for:
? The suitability of the services or goods provided by the Merchants;
? Any discrepancies in the quality or delivery of goods or services provided by the
Merchants;
? The accuracy of the menu or price list provided on the Platform;
? Any issues related to the delivery of Orders.
Pappad aims to provide accurate information on the Platform. However, in the event of an
error, we reserve the right, at our sole discretion, to contact you with further instructions.

 

Interaction with other Members on the Platform is at your own risk. Pappad does not
endorse any Merchant, and we are not liable for any damages or harm resulting from your
interactions with other Members.
By using the Services, you are responsible for the use of the Services through your
computer or mobile device and for ensuring that all persons accessing the Platform through
your device are aware of these Terms of Use and comply with them.
The costs associated with accessing and using the Platform, including internet connectivity
and telecommunication links, are borne by you. Pappad is not responsible for such costs.
You consent to receive promotional SMS and emails from Pappad or our allied partners.

By using the Platform, you represent and warrant that:

Infoskies, representing itself and its affiliate entities under the "Pappad" brand within
Cameroon, Central Africa, operates the internet resource www.delivvpappad.com
and the mobile application 'Pappad' (collectively referred to as “Platform”). In

 

Cameroon, Infoskies and its designated local entities manage the operations of
Pappad. Throughout this document, terms such as “we”, “us”, and “our” refer to
INFOSKIES. INFOSKIES extends this application, inclusive of all information, tools,
and services available from this app to you, the restaurant partner, contingent upon
your acceptance of all terms, conditions, policies, and notices outlined herein.
i. Pappad will list the Restaurant Partner’s menu and price list on the Platform and
transfer to the Restaurant Partner the amounts collected from Customers in
adherence to the agreed Terms outlined herein.
ii. Pappad will endeavor to display on the Platform all necessary information provided
by the Restaurant Partner. Nonetheless, Pappad reserves the right not to display
any information until it is fully provided by the Restaurant Partner and is in
compliance with Pappad’s policies and guidelines.
iii. Pappad retains the authority to adjust the taxation rates on menu items listed by
Restaurant Partners on the Platform.
iv. Pappad's responsibility is limited to providing (i) a platform for the Restaurant
Partner to list, offer, and sell their services to customers, and/or (ii) logistics services,
if applicable. Pappad is not liable for (i) the quality of services listed on the Platform;
(ii) the processing of orders placed by customers with the Restaurant Partner on the
Platform; or (iii) any delays in order preparation by the Restaurant Partner.
v. Pappad may suspend a Restaurant Partner's account if found non-compliant with
Cameroon’s food safety and standards regulations and any relevant laws, rules, or
guidelines.
vi. The Restaurant Partner acknowledges that delivery will be facilitated by Pappad
through a Delivery Partner. Pappad is not liable for any misconduct or illegal

 

activities by the Delivery Partner against customers or the Restaurant Partner's staff,
or for any vandalism against the Restaurant Partner.
vii. The Restaurant Partner will not hold Pappad liable for any customer claims
where delays in handing over the order to the Delivery Partner are solely attributable
to the Restaurant Partner and its staff.
viii. Pappad may, at its sole discretion, impose delivery charges and delivery
surcharges on customers for order delivery.
ix. The Restaurant Partner acknowledges Pappad as a mere facilitator for logistics
services, connecting Delivery Partners with Restaurant Partners for order delivery,
and cannot be held liable for any illegal or unlawful activities by the Delivery Partner.
1. Restaurant Partner’s Obligations
i. The Restaurant Partner will serve orders from customers who order via the
Platform without discrimination and will not offer preferential treatment to customers
ordering directly.
ii. The Restaurant Partner shall ensure visibility of all mandatory taxes, levies, and
charges applicable on orders on their invoices, as per applicable laws in Cameroon.
iii. The Restaurant Partner will provide accurate and current information to Pappad,
including but not limited to name, address, contact details, delivery times, menus,
price lists, taxes, and service addresses.
iv. The Restaurant Partner will classify menu items between restaurant services and
supply of food and beverage items for compliance purposes. In case of disputes over
classification, the Restaurant Partner will cover any losses incurred by Pappad due
to misrepresentation.

 

v. The Restaurant Partner ensures ownership or rights to all content/materials
provided to Pappad, including names, logos, menu items, and images, which do not
infringe on third-party rights or applicable laws.
vi. The Restaurant Partner will promptly process and execute orders.
vii. The Restaurant Partner will disable the “Accepting Delivery” feature when unable
to provide services to customers.
viii. Pappad reserves the right to take appropriate action against the Restaurant
Partner for acts or omissions detrimental to customer experience, such as frequent
order rejections.
ix. The Restaurant Partner will inform Pappad of any direct customer modifications to
orders.
x. The Restaurant Partner agrees not to claim any order value for cancelled orders
accepted at the customer's request via the Platform.
xi. For online payments, the Restaurant Partner or its representative must obtain a
signed receipt from the customer upon delivery.
xii. The Restaurant Partner will keep delivery proof for 180 days from delivery.
xiii. If undertaking deliveries, the Restaurant Partner ensures food safety and
delivery personnel training to prevent any compromise in food quality or safety.
xiv. The Restaurant Partner guarantees that the provided food and beverages are of
high quality, fit for consumption, comply with Cameroon’s food safety and standards
regulations, and adhere to all relevant regulations.
xv. For optional services availed from Pappad, the Restaurant Partner will comply
with additional terms and conditions as communicated by Pappad.

 

xvi. The Restaurant Partner will contact the customer for order clarifications or if
unable to process as requested.
xvii. The Restaurant Partner is responsible for addressing customer complaints
referred by Pappad regarding food quality, delivery issues attributable to the
Restaurant Partner, and failure to follow customer requests/instructions.
xviii. The Restaurant Partner will remove unavailable menu items.
xix. The Restaurant Partner acknowledges sole responsibility for the quality of
services listed on the Platform and for the processing and timely delivery of orders.
xx. The Restaurant Partner will ensure orders are packed appropriately to prevent
spillage during transportation and comply with Cameroon’s environmental
regulations against single-use plastic.
xxi. The Restaurant Partner will conduct background checks on delivery personnel,
ensure their sobriety and proper conduct, timely pay statutory dues, maintain
adequate insurance, and provide necessary training for efficient delivery.
xxii. The Restaurant Partner will not mix orders with those from other sources and
will use either Pappad-provided packaging or other non-branded packaging
materials.
xxiii. The Restaurant Partner will address and resolve customer complaints in
accordance with directives from Cameroon’s consumer affairs ministry or other
relevant authorities.
xxiv. The Restaurant Partner will provide necessary legal and regulatory documents
to Pappad, including tax identification, business registration, and food safety
licenses.

 

xxv. The Restaurant Partner will ensure compliance with laws on the prohibition of
single-use plastic and will face consequences for non-compliance as determined by
Pappad.
xxvi. The Restaurant Partner will not solicit customers for additional payments over
agreed prices at the time of order placement through the Platform.
xxvii. The Restaurant Partner will not use customer data for unsolicited marketing
outside of order fulfillment.
xxviii. The Restaurant Partner will refrain from fraudulent activities and misuse of
Pappad benefits to customers.
xxix. The Restaurant Partner will not impose additional delivery or payment
mechanism fees for deliveries not undertaken by the Restaurant Partner.
xxx. The Restaurant Partner will update the merchant application to the latest
version as it becomes available.
xxxi. The Restaurant Partner will ensure accurate display of restaurant details on the
Platform to maintain customer experience, with Pappad reserving the right to take
action against non-compliance.
2. License
The Restaurant Partner grants Pappad a non-exclusive, royalty-free license to use
all provided content for inclusion on the Platform and for related purposes. Pappad
may use the Restaurant Partner's content in advertising and promotional efforts.
3. Restaurant Partner Menu and Price List

 

i. Pappad will display the Restaurant Partner’s menu and price list, reserving the
right to modify items for compliance with Cameroon’s food safety and standards
regulations.
ii. The Restaurant Partner will provide a list of pre-packed goods for listing on the
Platform, ensuring a minimum shelf life of 45 days or 30% before expiry.
iii. Pricing parity must be maintained across all sales channels, with the Restaurant
Partner not charging above the maximum retail price for items with stated MRPs.
iv. Pappad will endeavor to prevent misuse of the Platform for fraudulent orders, with
the Restaurant Partner reporting any such instances.
v. Pappad may conduct marketing activities to promote the Restaurant Partner and
their menu, with specifics at Pappad’s discretion.
4. Payments Mechanism
i. The Platform provides various payment mechanisms for customer convenience,
including cash on delivery and electronic payment options.
ii. Invoices will be issued in compliance with Cameroon’s tax laws, with all applicable
taxes charged separately.
5. Payment Settlement Process
i. Pappad will pass on collected order values to the Restaurant Partner after
deducting applicable commissions, fees, and taxes.

 

ii. Settlements will be made on a weekly basis, allowing for adjustments related to
customer refunds or non-payments.
iii. Pappad reserves the right to offset any amounts owed by the Restaurant Partner
against payments due, applying such amounts towards outstanding dues.
6. Commission Structure
The Restaurant Partner agrees to pay Pappad a commission based on net sales,
with Pappad reserving the right to modify service fees or commissions upon prior
notice.
7. Confidentiality
Pappad will not share the Restaurant Partner’s information with third parties, except
as required by law or for service provision.
8. Warranty and Indemnity
The Restaurant Partner warrants compliance with Cameroon’s food safety and
standards regulations and indemnifies Pappad against liabilities arising from service
provision, tax collection, and customer data use.
9. Customer Data

 

The Restaurant Partner will use customer data solely for fulfilling orders and agrees
not to resell or disclose this data for marketing purposes without explicit customer
consent.
10.Term and Termination
The agreement is effective indefinitely from the execution date, with either party able
to terminate upon notice. Pappad may also terminate or suspend services for non-
compliance or fraudulent activities by the Restaurant Partner.
11.Notice Requirements
The Restaurant Partner must promptly report any issues affecting service provision
to Pappad.
12.Disclaimers
Pappad disclaims warranties related to the Platform and services, assuming no
liability for platform errors or data security breaches.
13.Limitation of Liability
Pappad’s liability is limited to direct damages, excluding liability for lost profits or
consequential damages.
14.Miscellaneous

 

The agreement is governed by Cameroon law, with disputes resolved in
Cameroonian courts. The Restaurant Partner cannot assign this agreement without
Pappad’s consent.
15.Modification
Pappad reserves the right to modify these terms or service offerings, with changes
effective upon posting on the Platform or notification to the Restaurant Partner.
